Terms of Service
These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Arunkumar Sivaramakrishnan, operating as Chat2User ("we," "us," "Chat2User"). By purchasing or using Chat2User, you agree to these Terms.
1. The product
Chat2User is a self-hostable software licence that provides:
- A website chat widget that captures visitor enquiries.
- Integration with WhatsApp Business API (via Gupshup) for inbound and broadcast messaging.
- A web dashboard for managing leads, broadcasts, and analytics.
- Real-time sync to the Customer's Google Sheet.
All features listed on the pricing page are included in the licence.
2. Licence grant
- On full payment of the one-time licence fee, we grant you a perpetual, non-exclusive, non-transferable licence to install, run, and use Chat2User for your business.
- The licence covers unlimited users and unlimited leads within the Customer's organisation.
- You may not resell, sub-licence, or distribute the software to third parties without our written agreement.
- You may not reverse-engineer the software except to the extent permitted by applicable law.
3. Acceptable use
You agree NOT to use Chat2User to:
- Send unsolicited marketing messages to people who have not given consent.
- Spam, harass, or scam recipients.
- Send content that is illegal, hateful, sexually explicit, fraudulent, or infringes others' intellectual property.
- Send messages on behalf of regulated products (alcohol, tobacco, firearms, gambling, narcotics) without proper licensing and Meta approval.
- Circumvent opt-out requests or remove users from your STOP list without their consent.
Violation of this section may result in termination of support without refund, and we will report repeat or serious violations to Meta and applicable authorities.
4. WhatsApp compliance
You acknowledge that:
- All messages must comply with the WhatsApp Business Policy and Meta's Commerce Policy.
- Marketing-category messages require approved templates and opt-in.
- Meta may at any time block your number, reject your templates, or impose quality-rating limits — outcomes we cannot control or guarantee.
- WhatsApp message fees are billed directly by Gupshup (our partner BSP) at their published rates. Chat2User takes zero markup on message fees.
5. Fees & payment
- Licence fee: ₹19,999 one-time, payable in full before delivery. 18% GST extra.
- Optional AMC: ₹4,999/year starting Year 2, covering bug fixes, updates, and priority support. AMC is optional — skipping it does not affect your licence ownership.
- Year 1 support is included in the one-time licence fee.
- WhatsApp message fees: billed separately by Gupshup at their published rates. Not part of the licence.
- Taxes: all fees exclusive of GST, which is added at the prevailing rate.
6. Refunds
We offer a 14-day money-back guarantee. If Chat2User does not work for your business, email us within 14 days of purchase and we will issue a full refund of the licence fee. After 14 days, the licence fee is non-refundable.
7. Data ownership & portability
- You own all lead data captured through your installation. Because Chat2User is self-hosted on your infrastructure, your data never leaves your servers.
- You can export your full lead database at any time as CSV.
- You are the Data Fiduciary under the DPDPA for end-user data you collect. We act as a software vendor, not a data processor.
8. Support & updates
Year 1 support is included. Year 2+ support requires an active AMC. Support covers:
- Installation help and setup assistance.
- Bug fixes for the latest released version.
- Free updates while your support window is active.
- Response over WhatsApp and email within 1 business day.
9. Confidentiality
Each party agrees to keep confidential information learned about the other during the relationship secret, both during the term and for 2 years after. This does not apply to information that is public, independently developed, or required to be disclosed by law.
10. Intellectual property
Chat2User software, branding, dashboard UI, templates, and documentation remain our intellectual property. You receive a perpetual, non-exclusive, non-transferable licence to use the software for your business per these Terms.
11. Limitation of liability
To the maximum extent permitted by law:
- Our total aggregate liability shall not exceed the licence fee you paid us.
- We are not liable for indirect, incidental, consequential, special, or exemplary damages — including lost profits, lost leads, or loss of business reputation.
- We are not liable for actions of third parties (Meta, Gupshup, Google, your payment processor, your hosting provider).
12. Indemnification
You agree to indemnify and hold us harmless from any claim arising out of your use of the software in breach of these Terms — including spam complaints, intellectual property infringement, or violation of WhatsApp policies.
13. Termination
- The licence is perpetual and does not terminate unless you breach these Terms.
- We may terminate support (not the licence) immediately for breach of Section 3 (Acceptable Use) or Section 4 (WhatsApp Compliance).
- You may stop using the software at any time. No refund after the 14-day window.
14. Governing law & jurisdiction
These Terms are governed by the laws of India. Any dispute will be resolved by binding arbitration in Chennai under the Arbitration and Conciliation Act 1996. Courts in Chennai shall have exclusive jurisdiction for any matters not subject to arbitration.
15. Changes to these Terms
We may update these Terms with 30 days' notice via email and website banner. Changes apply only to purchases made after the effective date — your existing licence remains governed by the Terms in force at the time of your purchase.
